Terms of Service

Effective: 1 March 2027

1. Introduction

These Terms of Service ("Terms") govern your use of the training programmes, consultancy services, and website provided by Threshold Systems Training Ltd ("we", "us", "our"), a company registered in England and Wales under company number 13492817, with its registered office at 14 Churchill Way, Floor 2, Cardiff CF10 2DY, United Kingdom. VAT registration number: GB 385 1742 09.

By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our services or website.

2. Services

We provide professional development training programmes for systems administrators and infrastructure engineers. Our programmes cover infrastructure reliability, access control, monitoring, incident response, and security hardening. Programmes are delivered as instructor-led sessions, either on-site at your premises or remotely via video conference, as agreed during the booking process.

We reserve the right to make reasonable changes to programme content, scheduling, or delivery format where necessary, provided that such changes do not materially diminish the quality or scope of the agreed programme. We will notify you of any material changes as soon as reasonably practicable.

3. Booking and Payment

Programme fees are quoted in pounds sterling (GBP) and are exclusive of VAT unless stated otherwise. Current pricing is as follows:

  • Standard programmes: from £1,350 per seat
  • Advanced programmes: from £2,800 per seat
  • Enterprise engagements: custom pricing, quoted individually following a scoping consultation

For individual bookings, payment is required in full at the time of booking unless alternative terms have been agreed in writing. For corporate clients, invoices are issued upon booking confirmation and payment is due within 30 days of the invoice date (NET 30).

Late payments will incur interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Interest will be charged at 8% above the Bank of England base rate on the outstanding amount, from the date payment was due until the date payment is received in full.

4. Cancellation and Refunds

Where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply, you have the right to cancel your booking within 14 days of the booking confirmation date without giving any reason and receive a full refund. To exercise this right, you must notify us of your decision by a clear written statement sent to enquiries@thresholdsystems.co.uk.

If you have expressly requested that a programme begins within the 14-day cancellation period and subsequently cancel, you will be liable for a proportionate amount of the programme fee corresponding to the services provided up to the point of cancellation.

For cancellations outside the statutory cancellation period:

  • Cancellations made more than 14 days before the programme start date: full refund.
  • Cancellations made within 14 days of the programme start date: refund minus a 25% administration fee.
  • Cancellations on the day of, or after, the programme start date: no refund.

Rescheduling is available free of charge if requested at least seven working days before the programme start date, subject to instructor availability.

5. Intellectual Property

All course materials, documentation, lab environments, and related content provided as part of our programmes remain the intellectual property of Threshold Systems Training Ltd. Programme participants are granted a non-exclusive, non-transferable licence to use these materials for personal professional development purposes only. Materials may not be reproduced, distributed, or used for commercial training purposes without our prior written consent.

6. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Subject to the above, our total aggregate liability to you in respect of all claims arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you for the relevant programme.

We shall not be liable for any indirect or consequential losses, including but not limited to loss of profit, loss of data, loss of business, or business interruption.

7. Confidentiality

Both parties agree to keep confidential any information of a confidential nature obtained from the other party in connection with these Terms. This obligation shall not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulation.

8. Data Protection

We process personal data in accordance with UK data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018. Full details of how we collect, use, and protect your personal data are set out in our Privacy Policy.

9. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, epidemic, pandemic, industrial action, power failure, or internet connectivity disruption. The affected party shall notify the other as soon as reasonably practicable and use reasonable endeavours to mitigate the effect of the force majeure event.

10. Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in accordance with CEDR's mediation procedure.

If the dispute is not resolved through mediation within 60 days of the referral, either party may commence proceedings in the courts of England and Wales.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

12. Changes to These Terms

We reserve the right to update these Terms from time to time. When we make material changes, we will update the "Effective" date at the top of this page and, where appropriate, notify affected clients directly. Changes will not apply retrospectively to bookings already confirmed under previous Terms.
